By accessing or using the Luz platform, website, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including individuals accessing the Service on behalf of an organization. If you are using Luz on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.

Luz is an AI enablement platform that helps organizations configure, deploy, and improve AI across their teams. The Service includes a web application, API access, analytics, workflow tools, and coaching features, as made available from time to time. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@luz.so if you suspect unauthorized access. Each account is for a single organization. You may not share accounts across unrelated entities or resell access to the Service without our written consent. We reserve the right to suspend or terminate accounts that violate these terms.

You agree not to use the Service to: • Violate any applicable law, regulation, or third-party rights • Transmit harmful, offensive, or unlawful content • Attempt to reverse engineer, decompile, or extract source code from the platform • Use automated means to scrape, crawl, or extract data from the Service without authorization • Interfere with the integrity or performance of the Service or its underlying infrastructure • Use the Service to develop a competing product or service We reserve the right to investigate and take appropriate action against violations, including account suspension or termination.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in that policy. For organizational customers, data handling is further governed by any applicable Data Processing Agreement. You retain ownership of data you input into the platform. You grant Luz a limited license to process that data solely to deliver the Service.

The Luz platform, including its software, design, trademarks, and content, is owned by Luz and protected by applicable intellectual property laws. Nothing in these Terms grants you ownership rights in the Service. You retain all rights to content and data you submit. You grant us a non-exclusive, worldwide, royalty-free license to use, host, and process that content as necessary to operate and improve the Service.

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in your service agreement. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension of your account. You are responsible for all taxes applicable to your use of the Service.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated outputs are provided for informational purposes. You are solely responsible for evaluating and acting on any output produced by the Service. Luz does not guarantee the accuracy, completeness, or fitness of AI outputs for any particular purpose.

To the fullest extent permitted by law, Luz shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim arising under these Terms shall not exceed the amount you paid to Luz in the twelve months preceding the claim.

Either party may terminate this agreement at any time. Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days following termination, after which it may be deleted. You may request data export before termination by contacting hello@luz.so.

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. We will notify you of material changes via email or prominent notice within the platform. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
